Receipt of a copy of this Confidentiality and Non-Disclosure Agreement is hereby acknowledged, agreed to and accepted on the terms set
forth herein. A facsimile/e-signature transmission of signatures to this Agreement shall be legal and binding on parties hereto.

The above signed prospective purchaser(s) hereby acknowledge receipt of CONFIDENTIAL INFORMATION about businesses for sale
currently and from this time forward, represented by Liquor Realty. In consideration of the delivery of Confidential Information, Buyer hereby
agrees on behalf of its successors, assigns, advisors, officers, partners and employees as follows:


The Confidential information shall remain solely for its use in connection with its potential purchase of the Business. Accordingly, all
information contained therein shall remain strictly confidential and Purchaser/Buyer, its successors, assigns, agents advisors, officers,
partners and employees shall not release any such items or disclose any such information to any other or entity without the prior written
consent of Seller. Buyer further agrees not to interfere with, or cause any action that harms the Business. Buyer agrees not to talk to owner or
employees of the Business without the approval of Broker. Buyer understands that the Business is also party beneficiaries, whose rights are
being protected and may also enforce the terms of this Confidentiality and Non-Disclosure Agreement as if it were a party to this Agreement.

Buyer further acknowledges that all information and materials on the Business provided by Broker have been provided to Broker by Seller of
the Business. Seller has represented to Broker that the information furnished to Buyer is true and correct. Buyer understands that Broker
does not guarantee the accuracy or completeness of such information. While statements of Broker may be presented concerning matters of
opinion, whether or not so identified, these are only statements of opinion. The information obtained from the Seller is deemed to be reliable
with accurate numbers however we do not guarantee its accuracy. Broker makes no representations or warranties, expressed or implied,
regarding the information provided to the Buyer. Buyer should use his/her own reliable sources to verify the information. Buyer agrees and
acknowledges that Liquor Realty may represent both the Buyer and the Seller if Buyer decides to buy the business/property.

Buyer hereby agrees to defend, indemnify and hold harmless Seller and/or Broker and their successors, assigns, agents advisors, officers,
partners and employees from and against all damages, losses, costs, expenses, and liabilities (including all attorney fees and court costs
incurred by Seller and/or Broker) arising out of or resulting from the failure of Purchaser/Buyer or its successors, assigns, agents advisors,
officers, partners and employees to perform any of their obligations under the terms of this Agreement.

This Agreement may be amended only by written instrument duly executed by the parties. Buyer shall not assign this Agreement or any part
hereof without the prior written consent of Broker. This Agreement shall be binding upon and inure to the benefit of the successors and
permitted assigns of the parties hereto. You declare that you are not a Real Estate Professional and you will not share the information with
any Real Estate Professional or any other person who does not have any interest in the potential business being evaluated. You also
understand that passing this confidential information to other parties in an attempt to buy this business/property in another known party’s
name or relative’s name within two years from the date of this agreement, is also a breach of this agreement. The parties hereto agree that
irreparable damage would occur in the event that any of the provisions of this Agreement were not performed in accordance with their
specific terms or were otherwise breached. Accordingly, it is agreed that the parties shall be entitled to an injunction or injunctions to prevent
breaches of this Agreement and to enforce specifically the terms and provisions hereof by taking legal action, in addition to any other remedy
to which Liquor Realty is entitled by law or in equity. This Agreement shall be governed by and constructed in accordance with the laws of the
State of California
